Julie Kaptur's responsibilities have included advising public and private for profit corporations, not for profit corporations, partnerships, professional service corporations, and banks with respect to corporate and securities matters under Colorado, Illinois, Delaware, and federal law; structuring, negotiating, and documenting private equity fund formation; mergers, acquisitions, financings, settlements, and other transactions; negotiating and documenting private equity fund and venture capital investments; and preparing and filing registration, proxy statements, and other securities filings. Julie also serves as the coordinator for pro bono matters in the firm's Denver office. 

Notable Experience

Platte River Ventures II, L.P.: Private equity fund formation ($225 million).

E.I. DuPont de Nemours & Co.: Acquisition of Merck & Co., Inc.'s 50% interest in the DuPont Merck Pharmaceutical Company ($2.6 billion).

NaPro BioTherapeutics:

  • Strategic alliance with Abbott Laboratories for the development of paclitaxel formulations, including equity investment, development funding, and product development and sales milestones ($68 million).
  • Sale of worldwide generic injectable paclitaxel business to Mayne Group Limited ($71 million).

Aquilex Corporation: Sale of company to Harvest Partners, LLC.

Cheyenne Capital Fund: Investments in various private equity funds and restructuring of existing investment (lead counsel for investors).

Daniels Capital Partners: Formation of Catalyst Partners, L.P. and related investment by Daniels.

Public Employees Retirement Association of Colorado: Investments in DLJ Merchant Banking Partners III, Columbia Capital Equity Partners III, Spectrum Equity Investors IV, TCV IV, Cypress Merchant Banking, Charter Growth Capital II, Venture Strategy Partners II, Sprout Capital IX, and Sequel III.

Mortgage Guaranty Insurance Corporation: Settlement of aspects of mortgage insurance coverage dispute with Bank of America and Countrywide Home Loans, Inc. 

Mortgage-backed securities and related financial products: Negotiation and documentation of various settlement agreements for various clients.
