Polly Swartzfager advises corporate clients on debt and equity financing transactions, mergers and acquisitions, and joint ventures. She also counsels corporate clients on an on-going basis on corporate governance and general business matters. Polly's industry experience is broad-based and includes industrial products and services, construction and energy services, natural resources and metals, technology, cybersecurity, and healthcare services. Clients appreciate that she brings an MBA's point of view to her corporate practice.

Polly began her career at Skadden Arps in New York and joined Bartlit Beck as a partner in 1998.

DEBT AND EQUITY FINANCINGS

Senior secured credit facilities. Represented private equity sponsors and corporate borrowers in numerous acquisition financings and working capital facilities, including Platte River Equity portfolio companies (Global X-Ray & Testing, Hetsco, PRV Metals, PRV Aerospace, Wellmark, CARBER, MFG Chemical, Tiger-Sul Products and Sherrill), Foxhole Group portfolio companies (CCK Automation, Surplus City, Sanitary Solutions), Lost Hills Thermal, Honey Smoked Fish and Alpha Natural Resources ($525m)

Mezzanine debt investments. Structured and negotiated subordinated debt investments for Caltius Partners in UHY Advisors, Bulk Handling Systems, Griplock Systems, Kids Care Dental and ChemDry, and for St Cloud Capital Partners in Life Spine

Private equity financings and venture capital. Represented Wyo-Ben (bentonite clay manufacturer), DarkOwl (cybersecurity), Trumpet Behavioral Health, Impressio (developer of applications for liquid crystal elastomers), OpenPeak (mobile app developer), TransZap (Oildex) in preferred and common equity financings and recapitalizations

Public equity offerings. Acted as company counsel for Gaia, Real Goods Solar, Alpha Natural Resources, Foundation Coal Holdings, Consolidated Cigar in connection with their SEC-registered primary and secondary offerings

144A debt offerings. Company counsel for Trico Shipping ($400m), Alpha Natural Resources ($175m)

MERGERS, ACQUISITIONS and JOINT VENTURES

  • Energy Services. Represented founders and their companies in connection with the sales of Eagle Environmental to EIS, an affiliate of Sun Capital Partners; Vision Oil Tools and Piceance Fishing & Rental to OFS Energy; and Dynaflo Artificial Lift and Five Star Equipment to White Deer Energy
  • Industrial Products/Services. Advised sellers in connection with sales of their companies to private equity funds and strategic buyers, including the sale of NG Companies to Rockwood Equity Partners and Easter-Owens Electric to Crusoe Energy
  • Construction Services. Counsel for USI's tuck-in acquisitions of Cardalls Insulation, Silver State Specialties, Southern Foam, Glasshouse, Diamond Mirror & Glass, and IDS Specialty Building Products; represented Encon United (manufacturer of pre-cast concrete structures) in connection with the sale of certain businesses
  • Healthcare and Other Services. Represented Trumpet Behavioral Health in its sale to WindRose Health Investors and Genesis Medspa in its sale to Princeton Medspa
  • Software. Company counsel to TransZap (Oildex) in its sale to Accel-KKR
  • Satellite Communication. Advised EchoStar in its acquisition of the US direct broadcast satellite business of The News Corporation and MCI
